Legal
Terms of service
The agreement between your business and OneRep: what you get, what you pay, and what each of us is responsible for.
1. About these terms
These terms are a contract between you and [Company legal name, e.g. OneRep Ltd] ("OneRep", "we", "us"), a company registered in England and Wales (company number [company number]), registered office [registered office address]. They apply when you create a OneRep account or use the OneRep service.
OneRep is software for running a coaching business. You're using it as a business, not as a consumer, and by accepting these terms you confirm you're at least 18 and able to agree to them for your business.
Our data processing agreement forms part of these terms. Our privacy policy explains how we handle your own personal data.
2. The service
OneRep lets you manage bookings, clients, packages and memberships, payments, coach pay, forms, assessments, emails and reports, and gives your clients an app to book and pay. We'll describe what each plan includes on our website.
We keep improving OneRep. We may add, change or remove features. If we remove something you rely on, we'll give you reasonable notice.
3. Your account
- Give us accurate details and keep them up to date.
- Keep sign-in details private and use two-step sign-in. You're responsible for what happens in your account, including actions by coaches and staff you add.
- Tell us straight away at hello@tryonerep.io if you think someone has got into your account.
4. Price and payment
- Subscription. OneRep is billed monthly in advance, by card or Direct Debit, through Stripe. Prices are shown on our website and exclude VAT where VAT applies.
- Founding price. Founding coaches pay £19 a month instead of the standard £39. You keep the founding price for as long as your subscription continues without a break. If you cancel and come back later, the price at that time applies.
- Price changes. We'll give you at least 30 days' notice of any change to your price. You can cancel before it takes effect.
- Failed payments. If a payment fails, we'll retry and let you know. If it still hasn't been paid 14 days after we first tell you, we may limit your account to read-only until it is.
- Referral credit. If you refer another coach and they pay for their first month, you get £20 off your next payment. Unused credit carries forward, can't be exchanged for cash, and ends if your account closes. You can't earn credit by referring yourself or another account you control.
5. Taking payments from your clients
Payments from your clients go through Stripe Connect into your own Stripe account. To use this you must accept Stripe's terms, including the Stripe Connected Account Agreement. Stripe, not OneRep, holds and pays out that money. Stripe's fees are charged to you. You're responsible for your own prices, refunds, VAT and tax on what you sell to your clients.
6. Your data and your clients' data
- You own the information you and your clients put into OneRep. You give us permission to host and process it only to provide and support the service.
- For your clients' personal data you're the controller and we're your processor. Our data processing agreement sets out both sides' responsibilities.
- You're responsible for having a lawful basis, including any consent needed, for the client data you collect, especially health information such as PAR-Q answers and assessment results, and for telling your clients how you use it.
- You can export your data at any time while your account is open, and for 90 days after it closes.
7. Fair use
Don't use OneRep to break the law, send spam, upload anything harmful, try to get into accounts or systems you shouldn't, copy or resell the service, or put an unreasonable load on it. We may suspend an account that does, and will tell you why unless the law or security stops us.
8. The Ask feature
Ask answers questions about your business using your own OneRep data and an AI model. Its answers are there to help you, not to replace your judgement. Check anything important, such as pay, tax or money owed, before you act on it. Ask doesn't give legal, tax, financial or medical advice.
9. Availability and support
We work hard to keep OneRep running and secure, but we can't promise it will never be interrupted. We'll try to schedule maintenance out of busy coaching hours and give notice where we can. Support is by chat and email.
10. Our software
We own OneRep and everything in it apart from your data. You get the right to use it for your business while your subscription is active. If you send us ideas or feedback, we can use them freely.
11. Liability
- Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else the law doesn't allow us to limit.
- We're not liable for loss of profit, revenue, business or goodwill, or for indirect losses.
- Our total liability to you in any 12 months is limited to the amount you paid us in those 12 months.
- We're not responsible for services we don't control, such as Stripe, your email provider or your internet connection, or for delays caused by events beyond our reasonable control.
12. Cancelling and ending
- You can cancel at any time in your account settings. Your account stays open until the end of the month you've paid for. We don't refund part months.
- We can end your account with 30 days' notice, or straight away if you seriously or repeatedly break these terms or don't pay.
- After your account ends, you have 90 days to export your data. After that we delete it, apart from records we must keep by law.
13. Changes to these terms
We may update these terms. We'll email you at least 30 days before a significant change takes effect. If you don't agree, you can cancel before then.
14. Law
These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction. If something goes wrong, please talk to us first at hello@tryonerep.io; most things can be fixed with a conversation.
